Terms of Service

Expendi is a software product owned, developed, and operated by Cradle Labs Ltd., a company incorporated in Kenya ("we", "us", "our"). "Expendi" is a brand and trading name of Cradle Labs Ltd., and all Expendi names, logos, and marks are the property of Cradle Labs Ltd..

Expendi is not a bank and is not itself a licensed financial institution. We provide software that helps you organise, automate, and track your own funds. Where the service involves regulated activity — such as converting between local currency and digital assets — that activity is carried out by licensed third-party providers we integrate with, and is subject to those providers' own terms.

Any reference in the app, on this website, or in app store listings to "Expendi" is a reference to a product of Cradle Labs Ltd..

By downloading, accessing, or using Expendi, you agree to these Terms of Service. If you do not agree, do not use the service. These Terms form a binding agreement between you and us.

You must be at least 18 years old and legally able to enter into contracts to use Expendi. You must not use the service if you are subject to sanctions or are located in a jurisdiction where use of the service is prohibited.

You are responsible for the accuracy of the information you provide when creating an account, and for keeping your credentials, PIN, passkey, and recovery material secure. You are responsible for all activity that occurs under your account.

To meet regulatory obligations, some features require identity verification. We may limit, suspend, or decline access to those features where verification is incomplete or cannot be confirmed.

Expendi provides tools to budget, save, automate recurring payments, and transfer digital assets using smart contracts you control. Features may include budget buckets, savings goals, scheduled and recurring transfers, yield positions, and conversion between local currency and stablecoins through third-party providers.

We may add, change, suspend, or remove features at any time. We aim to give reasonable notice of material changes, but some changes may be made immediately where needed for security, legal compliance, or service integrity.

Expendi is non-custodial where indicated in the app. This means you retain control of your assets and the keys or approval methods that authorise transactions. We do not hold your funds on your behalf in those flows and cannot move them without your authorisation.

Blockchain transactions are final and irreversible. We cannot cancel, reverse, or recover a confirmed transaction, and we cannot recover assets sent to an incorrect address or lost through compromised credentials. Verify every recipient and amount before you approve.

Expendi integrates services provided by third parties, including payment and currency-exchange providers, identity verification providers, blockchain networks, and infrastructure providers. Your use of those services may be subject to their separate terms and privacy policies.

We are not responsible for the acts, omissions, availability, or pricing of third-party providers, or for delays or failures in networks outside our control.

Fees applicable to a transaction are shown before you confirm it. Blockchain network fees and third-party provider fees are set by those networks and providers, not by us, and may change without notice. Exchange rates quoted in the app are indicative until a transaction is executed.

You agree not to use Expendi to break the law; to launder money or finance terrorism; to evade sanctions; to defraud or impersonate anyone; to interfere with, probe, or overload our systems; to reverse engineer or copy the service except as permitted by law; or to access the service through automated means without our written permission.

We may suspend or terminate access where we reasonably believe these Terms have been breached, or where required by law or by a partner or regulator.

Digital assets are volatile and carry risk, including the risk of total loss. Yield features carry smart contract, counterparty, and market risk, and returns are not guaranteed. Past performance does not indicate future results.

Nothing in Expendi is financial, investment, tax, or legal advice. You are solely responsible for your decisions and for any tax obligations arising from your activity.

The Expendi app, this website, and all associated software, content, designs, names, logos, and trade marks are owned by Cradle Labs Ltd. or its licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the app for its intended purpose. No other rights are granted.

Expendi is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error free, or secure, or that blockchain networks or third-party providers will perform as expected.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or losses arising from market movements, network failures, or third-party providers.

Where liability cannot be excluded, our total aggregate liability arising out of or relating to the service is limited to the greater of the fees you paid us in the three months before the event giving rise to the claim, or USD 100.

You agree to indemnify and hold harmless Cradle Labs Ltd., its directors, employees, and partners against claims, losses, and costs arising from your use of the service, your breach of these Terms, or your violation of any law or third-party right.

You may stop using Expendi at any time. We may suspend or terminate your access where we reasonably believe it is necessary to comply with law, protect users or our systems, or address a breach of these Terms. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, liability, indemnity, and governing law.

We may update these Terms from time to time. When we do, we will revise the date at the top of this page and, where the change is material, notify you in the app. Your continued use of Expendi after the changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of Kenya. You and we submit to the exclusive jurisdiction of the courts of Nairobi, Kenya, subject to any mandatory consumer protection rights available to you in your country of residence.
